1. Acceptance
By signing up for or using NegosyoPro AI ("the Service"), you agree to these Terms of Service. If you don't agree, please don't use the Service.
The Service is provided by KDT Network and Data Solution, a Philippine business duly registered with the Department of Trade and Industry (DTI). NegosyoPro AI is a product owned and operated by KDT Network and Data Solution. References in these Terms to "we," "our," or "us" refer to KDT Network and Data Solution acting through the NegosyoPro AI product.
2. The Service
NegosyoPro AI is an AI-powered sales and operations platform for small businesses. It includes an admin dashboard, multi-channel chat inbox, point-of-sale (POS), live-selling capture, customer / inventory / orders / payments management, knowledge-base training, and analytics. We may add, change, or remove features at any time.
3. Your account
- You must be at least 18 years old and authorized to act on behalf of the business you register.
- You're responsible for everything that happens under your account, including securing your password and managing access for any team members you add.
- You agree to provide accurate, current information and to keep it updated.
4. Acceptable use
You may not use NegosyoPro AI to:
- Send spam, scams, harassment, or any communication that violates Philippine law or the platform policies of Meta, Twilio, or any channel we integrate with.
- Sell or promote illegal goods, services, or services that require licenses you don't hold.
- Reverse-engineer, resell, or relabel the Service as your own without a written agreement with us.
- Overwhelm the Service or attempt to access data that doesn't belong to your workspace.
We may suspend or close accounts that violate these rules.
5. Pricing and payment
The Free tier is permanently free within the limits stated on our pricing page (currently 5 chatbot sessions per day, 50 chats per month, 1 AI agent). Premium tiers carry a monthly fee billed in Philippine Pesos. Fees are non-refundable except where required by law.
We may change pricing for future billing periods with at least 30 days' notice.
6. Your data
You own your workspace data — products, customers, orders, conversations, knowledge base. We host and process it on your behalf as described in our Privacy Policy.
You're responsible for ensuring you have the right to send any customer or third-party data you upload (for example, customer phone numbers used for SMS).
7. AI-generated content
The Service uses third-party AI models (currently Anthropic Claude) to generate responses. AI output can be inaccurate, biased, or inappropriate. You're responsible for reviewing AI responses before relying on them for business decisions, regulated communications, or compliance-sensitive flows.
8. Third-party services
When you connect Facebook, Instagram, WhatsApp, Twilio, or any other third-party service, you are also bound by their respective terms. We are not responsible for outages or policy changes on those platforms.
9. Availability
We aim for high uptime but make no guarantee. Scheduled maintenance and unplanned outages can happen. We are not liable for losses from temporary unavailability.
10. Termination
You can close your account at any time from the admin Settings page. We can suspend or close accounts that breach these terms or that have been inactive for an extended period, with reasonable notice where possible.
11. Liability
To the maximum extent permitted by Philippine law, NegosyoPro AI is provided "as is". We are not liable for indirect, incidental, or consequential damages. Our total liability for any claim is capped at the amount you paid us in the 12 months before the claim.
12. Governing law
These Terms are governed by the laws of the Republic of the Philippines. Disputes are resolved in the courts of Metro Manila.
13. Changes
We may update these Terms from time to time. Material changes will be announced by email. Continued use of the Service after changes means you accept the new Terms.
